For the corporate plans of hotel chains and other multi-location businesses (see plans for hotels). It is signed together with an Order Form, at the end of this page.
1. Parties and order form
This Corporate Subscription Agreement (the “Agreement”) is between Aharon & Ita Corp, a Florida corporation that operates StockistScout (“we”, “us”), and the company named in the Order Form (the “Customer”). It applies to corporate plans for hotel groups and other multi-location businesses. The Agreement takes effect when both parties sign an Order Form that refers to it (the “Effective Date”).
If the Order Form and this Agreement disagree, the Order Form wins for that order. If this Agreement and our general Terms of Service disagree, this Agreement wins. Anything not covered here follows the Terms of Service and our Privacy Policy.
2. The service
Each user (one named sales manager) gets one hotel or location account in StockistScout with:
- One AI sales agent that looks for companies matching that location’s ideal customer and writes to them on its behalf, with a first email and one follow-up.
- About 1,000 emails a month, unless the Order Form says otherwise. Unused emails do not carry over.
- Its own sending domain, warmed up step by step, so one location never affects the delivery of another.
- Reports of what was found, sent, opened and answered.
The Customer also gets: one shared do-not-contact list for all its locations (two locations never write to the same company, and an unsubscribe at one counts for all); a corporate dashboard for the users it names as corporate users; and templates that it approves before anything is sent.
3. Term and renewal
The initial term is twelve (12) months from the start date in the Order Form. It then renews for further twelve-month terms unless either party gives written notice at least sixty (60) days before the end of the current term.
4. Users
- The Order Form sets the number of users. Each user is one named person and may not be shared.
- The Customer may add users at any time. Added users are billed at the same price per user, prorated to the end of the current term.
- The number of users can only go down at renewal, with the notice in section 3.
- A user may be moved from one location or person to another at no cost, for example when a sales manager leaves.
5. Fees and payment
- The price per user is the one in the Order Form, based on the corporate price list at stockistscout.com/hotels on the date of signing. It stays the same for the whole term.
- The first invoice is paid in full, up front, when we countersign the Order Form, and the service starts once it is paid. It covers the first billing period (a year, a quarter or a month, as the Order Form says).
- After that we invoice in advance, annually unless the Order Form says quarterly or monthly. Those invoices are due within thirty (30) days, in US dollars.
- Fees do not include taxes. The Customer pays any sales, use or similar taxes, except taxes on our income.
- Amounts more than thirty (30) days late may bear interest of 1% per month, or the highest rate the law allows if lower. If an invoice is more than thirty (30) days late, we may suspend sending after giving fifteen (15) days’ written notice.
- For a renewal term we may raise the price per user by up to seven percent (7%), with written notice at least ninety (90) days before the renewal.
- Fees are not refundable, except as stated in section 15.
6. Pilot
If the Order Form includes a pilot, the Customer may use the service at the pilot locations for the pilot period and price stated there. At the end of the pilot, the Order Form says whether the full term starts or the pilot simply ends.
7. The Customer’s responsibilities
- Give accurate information about its business, its locations and its offer, and approve the templates before they are sent.
- Answer the replies its users receive, and never write again to a company that asked not to be contacted.
- Comply with the CAN-SPAM Act and every other law that applies to its messages, including its own brand and marketing rules.
- Keep its users’ logins private and tell us at once of any misuse.
8. Sending rules
The service writes only to businesses, never to consumers, and never uses bought lists. Every email identifies the sender, includes a working unsubscribe link and a postal address, and goes out from the location’s own sending domain. To protect delivery we may slow down or pause sending for a location, for example after a high bounce or complaint rate; we will tell the Customer why and what to fix.
9. Data
- The Customer owns its data: its business information, templates, ideal-customer profiles, and the replies and results of its campaigns.
- The companies our agents find come from public sources and from our own directory. We may keep and reuse public business contact information to provide the service to other customers, but never the Customer’s own data, replies or results.
- We process personal data as described in our Privacy Policy, with reasonable technical and organizational security measures, and tell the Customer without undue delay of any breach that affects its data.
- After the Agreement ends, the Customer may export its data for thirty (30) days. We delete it within ninety (90) days after that, except what the law requires us to keep.
10. Confidentiality
Each party keeps the other’s non-public information confidential, uses it only for this Agreement, and shares it only with people who need it and are bound to the same duty. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed.
11. Names and brands
The Customer allows us to use its names and logos only inside the emails and pages it approves for its own campaigns. We will not name the Customer as a client, or use its brands in our marketing, without its written consent. StockistScout, the software and everything we build remain ours.
12. Availability and support
We aim for the web app to be available 99.5% of each month, not counting announced maintenance. Support is by email at sales@stockistscout.com, in English or Spanish, on US business days; we answer within one business day. Service credits apply only if the Order Form includes them.
13. No guaranteed results
We do not guarantee any number of replies, meetings, bookings or sales. Results depend on the market, the offer, the templates and how the Customer’s users follow up.
14. Warranties and limits
- Each party confirms it has the authority to sign this Agreement.
- Apart from what this Agreement says, the service is provided “as is”, without other warranties, to the extent the law allows.
- Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue.
- Each party’s total liability under this Agreement is limited to the fees the Customer paid in the twelve (12) months before the claim. This limit does not apply to the Customer’s payment obligations, to breaches of confidentiality, or to the indemnities in section 16.
15. Ending the Agreement early
- Either party may end the Agreement if the other materially breaches it and does not fix the breach within thirty (30) days of written notice, or becomes insolvent.
- If the Customer ends it for our breach, we refund the prepaid fees for the rest of the term.
- If we end it for the Customer’s breach, the fees for the rest of the term remain due.
- Sections 5 (for amounts owed), 9, 10, 11, 14, 16 and 17 survive the end of the Agreement.
16. Indemnity
The Customer defends us against third-party claims arising from the content of its approved messages or from its breach of law in using the service. We defend the Customer against third-party claims that the StockistScout software infringes their intellectual property. The party defended must notify the other promptly and cooperate reasonably.
17. General
- Governing law: the laws of the State of Florida, United States, without regard to conflict-of-law rules. Disputes go to the state or federal courts located in Florida.
- This Agreement and its Order Forms are the whole agreement on this subject. Changes must be in writing and signed by both parties.
- Neither party may assign the Agreement without the other’s consent, except to a successor in a merger or sale of its business, with notice.
- Neither party is liable for delays caused by events beyond its reasonable control.
- Notices are given by email to the addresses in the Order Form. Electronic signatures and counterparts are valid.
